I am getting ready to sell a business and I need an attorney who can draw up the sales agreement. This is for an online business. No physical assets, all intellectual property. Does anyone know someone? Time is of the essence. PM me please. Thanks! |

Erin, Love both your sites! For sales contracts you want to contact an attorney in your state because there really are a lot of different rules for each state. For example, we sell for factories and non-competes are valid in some states and not in others. Some require time limits to be valid, etc. I'm sure if there are state by state variations with other small items. You may also think of writing one yourself. I have done this on a few occasions where the deal was not too critical for the business's survival. I researched the State Law and then kept the contract to only one page by stating the basic facts from both sides. In my opinion, no contract will really keep anyone in a deal they don't want to be in, they just limit the liability (usually for the one writing it) and they have exit clauses, etc. A lot of deals I have created have actually been in favor of the other party but protected me in my key concern. I have found that by having control of the point of sale, and by taking into consideration of the other parties major concerns that a happy medium can be created. I believe that by being considerate of the other party's position it makes closing deals faster and building trust much easier to do. For long term relationships this is key.
